General Terms and Conditions

1. Scope of Application
The following general terms and conditions apply to all business transactions between UnitedAds GmbH – hereinafter referred to as the Service Provider – and its contractual partner – hereinafter referred to as the Client.
Where individual contractual agreements exist that deviate from or contradict these terms, the individual contractual agreements shall take precedence.
2. Subject of the Contract
2.1 The contracting parties agree to collaborate in accordance with the specific, individual contractual agreement.
2.2 The Service Provider is responsible for its own social security contributions and tax matters.
2.3 The Service Provider is free to work for other clients as well.
3. Formation of Contract
3.1 The contractual relationship is established through the Client's issuance of an order (offer) and its acceptance by the Service Provider.
3.2 The subject of the contract is described in the written order.
4. Contract Duration and Termination
4.1 The contract begins and ends at the individually agreed time.
4.2 Unless otherwise agreed, the contract may be terminated with proper notice after three months. Notice period: 2 weeks to the end of the month.
4.3 Termination without notice for good cause is possible.
5. Scope of Services, Obligations of the Parties
5.1 The services to be provided by the Service Provider include the tasks listed in detail according to the issued order.
5.2 The service activity consists of independent and instruction-free consulting and/or support of the Client.
5.3 A specific result is neither owed nor guaranteed.
6. Prices and Payment Terms
6.1 Services are billed at the price stated in the individual contract.
6.2 Estimated prices are non-binding.
6.3 VAT is invoiced at the applicable rate.
6.4 Invoices are payable upon receipt without deduction.
7. Liability
7.1 The Service Provider is liable in cases of intent or gross negligence in accordance with statutory provisions.
7.2 The provision of the preceding paragraph extends to damages in addition to performance, damages in lieu of performance, and claims for reimbursement of futile expenditures.
